Territory language: what it does and doesn't promise

Protected, exclusive, designated: the words differ, and so do the protections.

Franchise territories are described in many ways, and the wording matters.

    Terms you will see

    • Exclusive or protected territory: the franchisor agrees, within stated limits, not to place another outlet there.
    • Designated area or non-exclusive territory: an area is named, but other outlets or channels may still operate in it.
    • Conditions: protection may depend on hitting sales targets or opening schedules.

    Common carve-outs

Online sales, catering, delivery apps, airports, stadiums, and other "non-traditional" locations are often excluded from territory protection.

    Our approach

We don't describe any territory as "protected" or "exclusive" unless the source uses those words, and we quote the conditions. A franchise attorney is the right person to explain what the contract actually guarantees.
